   Please read and review these Terms of Use (“Terms”) carefully before accessing or using the Site. BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO THE TERMS; IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.

   All text, graphics, user interfaces, photographs, trademarks, logos and computer code (collectively, “Content”) contained on the Site is owned, controlled or licensed by or to A&M, and is protected by copyright, patent and trademark laws, and other intellectual property rights and unfair competition laws.

4. Use of the Site
   You may use the information on A&M products and services purposely made available by A&M from the Site, provided that you shall: (1) not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, and (3) make no modifications to any such information.

A&M reserves the right to bar any such activity.

5. User Contributions
   A&M may occasionally offer you access to web pages or screens in the Site on or through which you and others can submit information or otherwise provide feedback or information to A&M (“User Contributions”). By transmitting User Contributions to A&M (or A&M’s designees) through the Site, you grant A&M and A&M’s designees a worldwide, non-exclusive, sub-licensable (through multiple tiers), transferable, royalty-free, perpetual, irrevocable right to use, reproduce, sublicense (through multiple tiers), distribute, create derivative works of, perform and import your User Contributions in any media now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without compensation to you. All User Contributions are deemed non-confidential and non-proprietary.

   You are the owner of and responsible for your User Contributions. In consideration of your opportunity to submit a User Contribution, you hereby represent and warrant that (1) your User Contribution is true and accurate; (2) you own or otherwise control all of the rights to your User Contribution; (3) your User Contribution complies with all applicable laws, rules and regulations (4) your User Contribution does not infringe, violate or misappropriate any third party’s copyright, trademark, patent, trade secret, privacy, or other right; (5) your User Contribution does not contain information that identifies any person unless you have such person’s express prior written consent and, if you are a health care professional, you will not submit any information that would directly identify a patient or any information for which you do not have all necessary consents, authorizations or other legally-required permission to disclose; (6) your User Contribution does not contain any slanderous, defamatory, obscene, pornographic, threatening and/or harassing comments or other content.

6. Disclaimers
   A&M DOES NOT PROMISE THAT THE SITE OR ANY CONTENT, SERVICE OR FEATURE OF THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. A&M CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. 7. Limitation of Liability
   EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, A&M SPECIFICALLY DISCLAIMS ANY LIABILITY, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE SITE OR CONTENT, EVEN IF AMGEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

   Notwithstanding the other provisions of these Terms, if A&M is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, A&M’s aggregate liability shall in no event exceed NT$1,000. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

8. Indemnity
   You agree to indemnify and hold A&M, its officers, directors, shareholders, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against A&M by any third party due to or arising out of or in connection with your use of the Site.
9. Revisions
   A&M reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site, or any portion of the Content, for any reason; (2) to modify or change the Site, or any portion of the Content, and any applicable policies or terms; and (3) to interrupt the operation of the Site, or any portion of the Content, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
10. Termination
    These Terms automatically terminate when you fail to comply with any term or condition of these Terms. A&M may terminate your access to the Site, with or without notice to you, at any time for any reason.
11. Governing Laws
    You agree that these Terms and all matters relating to your access to or use of the Site or Content, including all disputes, shall be governed by the laws of Taiwan without regard to its conflicts of laws principles. You agree to the exclusive jurisdiction by and venue in the courts sitting in Taipei, Taiwan, and waive any objection to such jurisdiction or venue.
12. Miscellaneous
    These Terms contain the entire understanding by and between A&M and you with respect to the matters contained herein. These Terms inure to the benefit of and will be binding upon A&M’s and your successors and assigns, respectively. These Terms may be assigned by A&M but you may not assign these Terms without the prior express written consent of A&M. If any provision of these Terms is or becomes unenforceable or invalid, the remaining provisions will continue with the same effect as if such unenforceable or invalid provision had not been used. If A&M fails or you fail to perform any obligation under these Terms and the other party does not enforce such obligation, the failure to enforce on any occasion will not constitute a waiver of any obligation and will not prevent enforcement on any other occasion.
